Merchant Agreement
The conditions laid out in this Merchant Agreement are integrated into the Airsoft Connect Terms & Conditions by reference. None of the clauses in this Merchant Agreement will be considered to alter any part of the Terms & Conditions in any way.
This Merchant Agreement contains vital details concerning the terms governing Airsoft Connect’s association with Organisers utilising our Services. Please review this Merchant Agreement thoroughly.
The definitions used in this agreement are clarified in our Terms & Conditions.
1. Purpose of This Merchant Agreement
This Merchant Agreement delineates the terms and conditions that apply to Organisers utilising the Services to manage their events and ticketing. By accepting the Terms & Conditions, you assent to the terms of this Merchant Agreement and enter a legally binding contract with Airsoft Connect.
Airsoft Connect will not be bound by any terms to which Airsoft Connect has not specifically consented to in writing. Any terms or conditions proposed by Organiser that are inconsistent with or additional to Airsoft Connect's Terms & Conditions shall be void unless specifically agreed to by Airsoft Connect in writing.
Airsoft Connect will not be held responsible under any circumstances for any downtime or disruption of the Service and any resultant direct or indirect losses suffered by Organisers due to such downtime or disruption.
2. Responsibilities
2.1. Airsoft Connect responsibilities
Platform Availability:
Airsoft Connect will strive to maintain the availability of the platform for Organisers to manage their events and ticketing. However, Airsoft Connect will not be held responsible for any downtime or disruptions of the Service and any resultant direct or indirect losses suffered by Organisers due to such occurrences.
Support services:
Airsoft Connect will provide support services to assist Organisers with any issues related to the platform. Organisers can reach out to Airsoft Connect’s support team through the provided contact information.
2.2. Organiser responsibilities
Payment confirmation:
Organisers are responsible for confirming payments on the website promptly. Once a participant makes a payment to the Organiser's bank account, the Organiser must log in to the Airsoft Connect platform and confirm the payment to issue a digital ticket to the participant.
Accurate Information:
Organisers must ensure that the payment details and other relevant information provided are accurate and up-to-date. Any discrepancies in payment information must be addressed directly between the Organiser and the participant.
Event Management:
Organisers agree to manage their events in accordance with the terms specified in this Merchant Agreement and the overarching Terms & Conditions of Airsoft Connect. This includes timely communication with participants and adherence to the event schedules.
Inbox and Notifications:
It is the sole responsibility of the Organiser to check the inbox and notifications on the Airsoft Connect platform regularly. Airsoft Connect is not liable for any direct or indirect losses suffered by the Organiser due to the Organisers' failure to comply hereto.
3. Orders & Payments
3.1. General
3.1.1. Method of Payment
Payments for ticket purchases are conducted between the Organiser and the Consumer. The Consumer makes a direct payment to the Organisers bank account within a given time frame. When the Organiser confirms the payment on the website, Airsoft Connect sends the Participant a digital ticket.
3.1.2. Role of Airsoft Connect
Airsoft Connect provides a platform for Organisers to manage events and handle ticketing. Airsoft Connect does not provide payments processing, collection or any other financial services.
3.1.3. Confirmation Messages
Once the payment is confirmed by the Organiser on the Platform, the Participant will receive an email of payment confirmation with a valid digital ticket containing a unique QR code.
3.1.4. Applicable Fees
Organisers can use Airsoft Connect services free of charge.
3.1.5. Event Cancelation
In case of event cancellation, the event fee is not applied to the organiser. All tickets issued to Participants will automatically be terminated and ticket fee will not be charged.
3.2. Order Processing Procedure
The Consumer places an order through the Platform. The Organiser then can either confirm or deny participation in the event. If the Participant is confirmed, payment information is sent to the provided Participant email address.
It is the Organiser’s responsibility to:
o Collect the payment directly from the Participant.
o Mark the order as “Paid” in the designated area on the Platform.
After the payment is complete and marked as “Paid”, the Participant immediately receives a digital event ticket.
3.3. Refunds
All refund related matters are between the Participant and the Organiser. The refund terms are set by the Organiser, specified in their terms & condition section, to which the Participant agrees when purchasing a ticket. Airsoft Connect is not involved in the refund process.
Airsoft Connect does not refund Service Fee to the Organiser.
3.4. Collections & Cost of Recovery
Airsoft Connect reserves the right to pursue any unpaid amount for collections if such amount is not paid within thirty (30) days after the invoice date. Upon demand, Organiser agrees to reimburse Airsoft Connect promptly and fully for costs incurred in collecting any amounts due under applicable agreements between Airsoft Connect and Organiser.
If the Organiser does not respond to a collection notice, Airsoft Connect reserves the right to pursue outstanding amounts owed through applicable legal means.
4. Prohibited Events & Transactions
4.1. Prohibited Events
Organisers may not post events or engage in activities on the Services that:
o Violate or facilitate the violation of any applicable law
o Contain any Content that would violate the Terms & Conditions
4.2. Remedies
If Organiser posts a Prohibited Event, Airsoft Connect may take any or all of the following actions, as well as pursue other remedies allowed by applicable laws:
o Suspend or terminate Organiser’s Airsoft Connect account.
o Modify or remove any Prohibited Event, in full or in part.
o Without notice to Organiser, refer Organiser and related events to applicable law enforcement agencies for further action.
5. Organiser Representations & Warranties
Organisers represent and warrant to Airsoft Connect that:
o Where Organiser represents an entity, that the entity validly exists and is in good standing under applicable laws.
o Organiser (or the entity Organiser represents) has the authority to enter into this Merchant Agreement or other applicable agreements with Airsoft Connect.
o Organisers represent and acknowledge that they (not Airsoft Connect) are solely responsible for correctly ticketing their events and only honouring valid tickets. Organisers understand and agree that Airsoft Connect is not liable for any costs arising from Organisers honouring presented tickets that are invalid or procured through deceptive practices.
o Organiser warrant and undertake to Airsoft Connect that Organiser's activities are and will be in full compliance with any and all applicable legislation. If Organiser has violated or is in violation of any legislation Airsoft Connect may terminate Organiser's events.
6. Term & Termination
This Merchant Agreement is in effect as long as the Organiser uses Airsoft Connect Services, and remains in effect until termination from either party.
In addition to other provisions detailed in Terms & Conditions, Airsoft Connect has the right to terminate This Merchant Agreement and Organiser's access to Services if Organiser is in violation or breach of any provision of this Merchant Agreement.
